Service terms
1. Introduction
These Service Terms apply to all consulting services, training sessions, and workshops offered by Sky Dust (“we,” “us,” “our”) related to compliance with the Corporate Sustainability Reporting Directive (CSRD), European Sustainability Reporting Standards (ESRS), and responsible use of Artificial Intelligence (AI). By engaging our services, you (“the client”) agree to these terms. This is version 1.0. Last updated 13th of August 2024.
2. Scope of Services
- Consulting Services: We provide expert advice and guidance to help your organization comply with CSRD and ESRS regulations and implement responsible AI practices. The scope of each consulting project will be defined in a separate agreement or statement of work.
- Training Sessions: Our training sessions are designed to educate your team on the requirements of CSRD, ESRS, and the ethical use of AI. The content and duration of the training will be tailored to your needs.
- Workshops: We offer interactive workshops to help your organization understand and implement CSRD, ESRS standards, and responsible AI practices. Workshops are customized based on your specific objectives and challenges.
3. Booking and Payment
- Booking Confirmation: Your booking is confirmed once we receive a signed agreement or purchase order from you and payment has been processed.
- Payment Terms: Payment for all services is due within 30 days of the invoice date unless otherwise agreed in writing. Late payments may incur interest charges in accordance with European law and/or rescheduling of services, as payment is required for comfirmation
- Number of attendees: if there is a minimum and/or maximum attendees for a service, this is metnioned with the relevant service. If the service has to be cancelled or reschudeled due to too many or a shortage of attendees, this is treated as described in the Cancellation Policy below.
- Cancellation Policy: No refunds are possible in case of cancellation. You may reschedule services with at least 14 days' notice before the start date. Rescheduling less than 14 days before the start date will be subject to a fee of 50% of the service fee. No refunds will be provided for rescheduling made less than 7 days before the start date.
4. Client Responsibilities
- Accurate Information: You agree to provide us with accurate and complete information necessary for us to deliver the services effectively.
- Participation: For training sessions and workshops, you agree to ensure that your team actively participates, follows the instructions provided by our trainers or facilitators and attends with the right number of people if relevant
- Compliance: You are responsible for ensuring that your organization complies with all applicable laws and regulations, including those related to CSRD, ESRS, and AI usage.
5. Intellectual Property
- Ownership: All materials provided during consulting services, training sessions, and workshops are the intellectual property of Sky Dust unless otherwise agreed. You are granted a non-exclusive, non-transferable license to use these materials for your organization’s internal purposes.
- Restrictions: You may not reproduce, distribute, or modify the materials without our prior written consent.
6. Data Protection and Privacy
- Data Handling: We will handle any personal data you provide in compliance with the General Data Protection Regulation (GDPR). We will only use your data for the purpose of delivering the agreed services and will not share it with third parties without your consent.
- AI Usage: If AI tools are used in the provision of our services, we will ensure that these tools are deployed responsibly and in compliance with ethical guidelines and applicable laws.
7. Liability and Disclaimers
- Limitation of Liability: Our liability for any claims arising out of or in connection with the services provided is limited to the amount you have paid for the services. We are not liable for any indirect, incidental, or consequential damages.
- No Guarantee: While we strive to provide the best possible advice and training, we do not guarantee any specific outcomes from the use of our services. Compliance with CSRD, ESRS, and AI guidelines remains your responsibility.
8. Dispute Resolution and Governing Law
- Disputes: If you have any disputes regarding our services, please contact us first to resolve the issue amicably. If the dispute cannot be resolved, it will be referred to mediation or arbitration in accordance with European law.
- Governing Law: These Service Terms are governed by the laws of the European Union and your local country. The courts of your country of residence will have jurisdiction in case of a legal dispute.
9. Changes to Service Terms
We reserve the right to update these Service Terms from time to time. Any changes will be communicated to you in writing and will apply to future services.
